End user license agreement.
These terms govern authorised access to and use of the Delicious Catering Order Management System (OMS), including its production planning, order management and QuickBooks Online workflows.
1. Agreement and scope
This End User License Agreement (EULA) is between you, the person using the OMS, and Delicious Catering (2000) Limited, company number 03917766 ("Delicious Catering", "we", "us" or "our"). If you use the OMS for a company, partnership or other organisation, you confirm that you are authorised to accept these terms on its behalf, and "you" includes that organisation.
The OMS is a staff-facing business system made available to authorised users at an address designated by Delicious Catering. It helps authorised staff plan production dates, maintain customer and product information, review orders, prepare production work and review or carry out approved QuickBooks Online invoice actions. It is not a consumer ordering service and it does not replace a separate agreement for the sale or supply of food products.
By accepting an invitation, signing in to or using the OMS, you agree to this EULA. If a separate written agreement between your organisation and Delicious Catering applies, that agreement controls where it expressly conflicts with this EULA.
2. Definitions
- Authorised User means a person invited or approved by an administrator or by the organisation responsible for the OMS account.
- Customer Data means information submitted to or maintained in the OMS by you or your organisation, including customer and sub-customer details, delivery points, orders, product and pricing data, production information, references, notes and invoice information.
- Third-Party Services means services connected to or used with the OMS, including QuickBooks Online, Supabase, Cloudflare, email services and any approved communications provider.
3. Limited licence
Subject to this EULA, we grant you a limited, non-exclusive, non-transferable and revocable licence to access and use the OMS for your organisation's internal business operations during the period in which you are an Authorised User. You may not sublicense, resell, rent, lease or commercially exploit the OMS, and you may not allow another person to use your account.
Your access is limited by your role, the organisation's settings and the features enabled for your environment. We may change, improve or retire features as the OMS develops, provided that this does not remove rights expressly agreed in a separate written agreement.
4. Roles and permissions
The OMS is designed around least-privilege staff roles. The exact permissions may change as the service develops, but the intended operating model is:
- Administrator: manage staff access, settings, customer and product configuration, integrations and other protected controls.
- Order staff: enter and review orders, apply approved customer and product settings, manage references and prepare work for production and invoice review.
- Production staff: view and print approved production work and use the production workflow; changing an order remains restricted to the appropriate staff role.
Do not try to bypass role restrictions or use another person's permissions. Administrators may add, change, suspend or remove access when needed for security, staffing, legal or operational reasons.
5. Accounts and security
You must keep your account information accurate, use your own credentials, keep authentication details confidential and notify an administrator promptly if you suspect unauthorised access. Organisations should use individual staff accounts rather than shared logins and should remove access when a person no longer needs it.
Never enter passwords, QuickBooks client secrets, OAuth authorisation codes, access tokens, refresh tokens, payment-card data or other credentials into OMS notes, customer records, orders or enquiries. You must follow your organisation's security and data-handling instructions and comply with applicable law.
6. Acceptable use
You must use the OMS lawfully and only for the business purpose for which access was granted. You must not:
- access, copy, export or disclose information you are not authorised to see;
- upload malware, exploit a vulnerability, probe or disrupt the service, or interfere with another user's access;
- reverse engineer, decompile, disassemble or attempt to derive source code, except where the law expressly permits it;
- circumvent authentication, role permissions, rate limits or other security controls;
- use the OMS to send unlawful, misleading, abusive or unsolicited communications; or
- use the OMS in a way that infringes another person's privacy, intellectual property or other rights.
7. Customer Data and privacy
Your organisation retains its rights in Customer Data. You grant us the limited permission needed to host, store, transmit, display, back up, secure and otherwise process Customer Data to provide, support and protect the OMS, including through our service providers and Third-Party Services. We do not sell Customer Data.
You and your organisation are responsible for having the authority and lawful basis to provide Customer Data, for giving required privacy information to the people concerned, for keeping the information accurate and for following any retention or deletion instructions that apply to your organisation. Where you process information for another business, you must follow that business's documented instructions and direct data-subject requests to the appropriate controller where required.

8. QuickBooks Online and other Third-Party Services
QuickBooks Online is an independent service operated by Intuit. An authorised administrator may connect an organisation's QuickBooks account through OAuth and may authorise the OMS to read relevant customers and items and to create, print or send invoices through the workflow. The organisation remains responsible for its QuickBooks account, permissions, data, tax configuration, subscriptions and compliance with Intuit's terms.
Staff must review the customer, production date, grouping, quantities, prices, references, tax treatment and total before an invoice action is confirmed. The OMS is designed to avoid blindly repeating an uncertain invoice or send action; where QuickBooks does not confirm the outcome, staff may need to check QuickBooks and reconcile the record before retrying. We are not responsible for changes, outages, errors or decisions made by QuickBooks or another Third-Party Service.
Supabase, Cloudflare, email providers and any approved communications provider may process information as needed to operate the service. Features such as WhatsApp intake are enabled only when separately configured for the relevant environment and remain subject to the provider's terms and the organisation's instructions.
9. Accuracy and operational responsibility
The OMS assists staff; it does not independently verify every customer, product, price, quantity, delivery point, tax setting or invoice. You are responsible for checking information before approving production work or taking a QuickBooks action, for resolving discrepancies and for keeping standing templates and dated changes up to date. The OMS does not provide accounting, tax, legal, food-safety or other professional advice.
10. Security and availability
We use reasonable technical and organisational measures for the service, including authenticated staff access, role-based permissions, server-side handling of integration credentials, encrypted QuickBooks refresh-token storage, OAuth state checks, audit records and operational monitoring. No online service is completely secure or continuously available. We may carry out maintenance, security work or emergency changes and may temporarily limit access to protect users, Customer Data or the service.
11. Ownership and feedback
We and our licensors own the OMS, its software, designs, documentation, branding and improvements. Except for the limited licence in this EULA, no intellectual property rights are transferred to you. You retain your rights in Customer Data. If you provide feedback or suggestions, you allow us to use them without restriction or payment, provided that we do not identify you or disclose Customer Data through that use.
12. Confidentiality
Each party must protect the other party's non-public business, technical and commercial information using reasonable care and must use it only for the purposes of the OMS and the parties' business relationship. This does not apply to information that is public without breach, already lawfully known, independently developed or required to be disclosed by law.
13. Suspension and termination
You or your organisation may stop using the OMS at any time. We or an administrator may suspend or end access if you breach this EULA, if access creates a security or legal risk, if the organisation asks us to do so, or if the relevant service is discontinued. On termination, you must stop using the OMS and return or delete information where instructed, subject to legal, accounting, security, backup and dispute-retention requirements. Disconnecting QuickBooks does not automatically change records already created in QuickBooks.
14. Disclaimers and liability
To the extent permitted by law, the OMS is provided on an “as available” basis and we do not promise that it will be uninterrupted, error-free or suitable for every purpose. We do not control Third-Party Services and cannot promise their availability, accuracy or continued compatibility. You should maintain appropriate business checks and backups for information that matters to your organisation.
Nothing in this EULA excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation or death or personal injury caused by negligence. Any service levels, fees, liability allocation or other commercial terms agreed with your organisation are governed by the applicable written agreement. Subject to those terms and applicable law, each party remains responsible for the direct loss caused by its breach of this EULA; neither party is responsible for indirect or consequential loss to the extent the law permits that exclusion.
15. Changes to this EULA
We may update this EULA when the OMS, its integrations or legal requirements change. We will publish the current version on this page and update the effective date. If a change materially affects authorised use, we will provide notice through the OMS or another reasonable channel where practicable. Continued use after the effective date means that you accept the updated terms.
16. Governing law and contact
This EULA and any dispute arising from it are governed by the law of England and Wales, subject to any mandatory rights or protections that apply to you. The courts of England and Wales will have exclusive jurisdiction unless applicable law requires otherwise.
